This document ("Terms and Conditions" or "Agreement") constitutes a legally binding agreement between Walure ("Company," "we," "us," or "our") and you, the user ("User," "you," or "your"), governing your access to and use of the iPOS by Walure application ("Application"), including all related services, features, and content.

● 1.2. Acceptance:

By accessing, downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any provision of these terms, you must not use the Application.

● 1.3. Modifications:

We reserve the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on the Application or our website. Your continued use of the Application after such changes constitutes your acceptance of the new terms.

2. Description of Service

● 2.1. Service Overview:

iPOS by Walure is a cloud-based point-of-sale (POS) system designed to provide retail businesses with tools for sales transactions, inventory management, sales analytics, and customer relationship management (CRM).

● 2.2. Key Features:

The Application includes, but is not limited to:

▪ Point of Sale (POS) transactions (including customized invoices, digital/printed receipts, checkout, suspended orders, and sales history).

▪ Inventory management (including stock tracking, purchase orders, customizable taxes, and inventory control).

▪ Sales analytics and reporting (including sales performance and end-of-day reports).

▪ Customer relationship management (including customer profiles and transaction tracking).

3. User Accounts and Responsibilities

● 3.1. Account Creation:

To access certain features of the Application, you must create an account. You agree to provide accurate and complete information during the registration process.

● 3.2. Account Security:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

● 3.3. User Conduct:

▪ Use the Application for any illegal or unauthorized purpose.

▪ Attempt to disrupt the Application's functionality.

▪ Attempt to gain unauthorized access to the Application or its data.

▪ Transmit any harmful or malicious software.

▪ Engage in any activity that could damage the reputation of Walure.

4. Payment and Fees

● 4.1. Subscription Plans:

Access to certain features of the Application may require a subscription. Subscription fees and payment terms will be clearly communicated within the Application or on our website.

● 4.2. Payment Processing:

You agree to pay all applicable fees as specified. We utilize secure third-party payment processors.

● 4.3. Fee Changes:

We reserve the right to change our subscription fees at any time. We will provide reasonable notice of any fee changes.

● 4.4. Refunds :

All payments are non-refundable, unless explicitly stated otherwise in a separate agreement, or where required by law

5. Intellectual Property

The Application and its content, including but not limited to software, trademarks, logos, and designs, are the property of Walure and are protected by intellectual property laws.

● 5.2. Limited License:

We grant you a limited, non-exclusive, and non-transferable license to use the Application for its intended purpose.

● 5.3. Restrictions:

You must not copy, modify, distribute, or create derivative works based on the Application without our explicit permission.

6. Data Privacy

Our collection and use of your personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms and Conditions.

We implement reasonable security measures to protect your data, but we cannot guarantee absolute security.

The Application is provided "as is" and "as available" without any warranties. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.

In no event shall Walure be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Application.

8. Termination

We may terminate or suspend your access to the Application at any time for any reason, including but not limited to violation of these Terms and Conditions.

● 8.2. Termination by You:

You may terminate your account at any time by following the instructions within the Application.

● 8.3. Effect of Termination:

Upon termination, your access to the Application will cease, and any data associated with your account may be deleted.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

● 9.2. Dispute Resolution:

Any disputes arising from these Terms and Conditions shall be resolved through such dispute shall be referred to arbitration under the laws of Nigeria.
